1. Acceptance of Terms

By accessing or using MarketDly ("Service", "Platform", "we", "us", or "our"), operated by DalalBytes LLC, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

MarketDly is an educational platform that provides:

• Technical analysis education and training materials
• Chart pattern identification and recognition tools
• Historical performance tracking for educational reference
• AI-powered market analysis for learning purposes
• Educational content including blog posts and tutorials

The Service is NOT: Investment advice, financial planning, portfolio management, or recommendations to buy or sell securities.

3. Educational Purpose Only

ALL CONTENT IS FOR EDUCATIONAL PURPOSES ONLY.

MarketDly provides educational information about technical analysis and chart patterns. We do not provide:

• Investment advice or recommendations
• Financial planning or advisory services
• Personalized trading strategies
• Recommendations to buy, sell, or hold securities
• Tax, legal, or accounting advice

You are solely responsible for your own investment and trading decisions.

4. User Accounts and Subscriptions

4.1 Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Subscription Tiers

We offer multiple subscription tiers (Free, Basic, Professional) with different features and pricing. Current pricing is available at marketdly.com/pricing.

4.3 Payment Terms

• Subscriptions are billed monthly in advance
• All fees are in U.S. Dollars
• Payment is processed through Stripe
• Fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days notice

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial months.

5. Acceptable Use Policy

You agree NOT to:

• Share your account credentials with others
• Scrape, copy, or redistribute our content without permission
• Use the Service for any illegal purpose
• Attempt to reverse engineer or hack the Service
• Use automated systems to access the Service excessively
• Misrepresent your affiliation with MarketDly
• Violate any applicable laws or regulations

6. Intellectual Property

All content on MarketDly, including but not limited to text, graphics, logos, software, and data, is the property of DalalBytes LLC or its licensors and is protected by copyright and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works without our express written permission.

7. Disclaimers and Limitations of Liability

7.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7.2 Investment Risk

TRADING AND INVESTING INVOLVE SUBSTANTIAL RISK OF LOSS. YOU MAY LOSE SOME OR ALL OF YOUR INVESTED CAPITAL. PAST PERFORMANCE DOES NOT GUARANTEE FUTURE RESULTS.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DALALBYTES LLC SHALL NOT BE LIABLE FOR:

• Any trading or investment losses
• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the amount you paid for the Service in the past 12 months

8. Indemnification

You agree to indemnify and hold harmless DalalBytes LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your trading or investment decisions

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect and use data as described in that policy.

We use third-party services (Stripe for payments, AWS for hosting) that may collect data. You consent to such data collection and processing.

10. Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Any reason at our sole discretion

Upon termination, your right to use the Service immediately ceases. Sections that by their nature should survive termination will survive.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

11.2 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, rather than in court.

11.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions or class-wide arbitration.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and MarketDly.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

12.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms at any time.
